Terms of Use

We are Tengiz Kiknadze, an independent developer based in Tbilisi, Georgia. We operate the mobile application NovaThink, as well as any other related products and services (collectively, the "Services").

1. OUR SERVICES

The information provided is not intended for distribution where it would be contrary to law. The Services are not tailored to comply with HIPAA, FISMA, or GLBA.

2. INTELLECTUAL PROPERTY RIGHTS

Tengiz Kiknadze owns all intellectual property rights in the Services, including source code, databases, software, designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos ("Content" and "Marks"). These are protected by copyright and trademark laws worldwide.

You are granted a non-exclusive, non-transferable, revocable license to access the Services and download or print Content solely for personal, non-commercial use. No Content or Marks may be used for commercial purposes without express written permission.

Any breach of these rights will terminate your right to use the Services immediately. By sending Submissions, you assign all intellectual property rights in such Submission to Tengiz Kiknadze.

3. USER REPRESENTATIONS

By using the Services, you represent that: (1) registration info is true and accurate; (2) you will maintain accuracy of such info; (3) you have legal capacity to agree; (4) you are not under 13; (5) you are not a minor, or have parental permission; (6) you will not use automated means to access; (7) you will not use for illegal purposes; (8) your use will not violate any law.

4. USER REGISTRATION

You may be required to register. Keep your password confidential. Usernames may be removed or reclaimed at sole discretion.

5. SUBSCRIPTIONS

Billing and Renewal: Your subscription automatically renews on a weekly or monthly billing cycle (depending on your selection) unless canceled.

Free Trial: A 3-day free trial is offered to new users for the Monthly subscription plan. The account will be charged according to the subscription fee at the end of the trial period unless canceled.

Cancellation: Via iTunes/App Store settings. Cancellation takes effect at the end of the current paid term. Contact contact@novathink.net with questions.

Fee Changes: Subscription fees may change and will be communicated in accordance with applicable law.

6. PROHIBITED ACTIVITIES

You may not use the Services for any purpose other than what is made available. You agree not to:

  • Systematically retrieve data to compile databases without permission
  • Trick, defraud, or mislead us or other users
  • Circumvent security features
  • Disparage or harm us or the Services
  • Use information to harass or harm others
  • Submit false abuse reports
  • Use the Services illegally
  • Engage in unauthorized framing or linking
  • Upload viruses or malicious material
  • Use automated systems or data mining tools
  • Delete copyright notices
  • Impersonate other users
  • Upload spyware or passive collection mechanisms
  • Interfere with or disrupt the Services
  • Harass employees or agents
  • Attempt to bypass access restrictions
  • Copy or adapt Services software
  • Reverse engineer the Services
  • Use unauthorized automated scripts
  • Use a buying agent to make purchases
  • Collect usernames/emails for unsolicited email
  • Use the Services to compete or for unauthorized commercial gain

7. USER GENERATED CONTRIBUTIONS

The Services do not currently offer users the ability to submit or post content. If such opportunity is provided, you warrant that your Contributions do not infringe any rights, are accurate, not misleading, not spam, not obscene, not harassing, and comply with all applicable laws.

8. CONTRIBUTION LICENSE

We may access, store, and use information you provide per the Privacy Policy. By submitting feedback, you agree it can be used without compensation. You retain ownership of your Contributions.

9. MOBILE APPLICATION LICENSE

Use License: You are granted a revocable, non-exclusive, non-transferable limited right to install and use the App. Use behavior must comply with App Distributor's terms (Apple/Android). Tengiz Kiknadze is responsible for maintenance and support. App Distributors have no warranty obligations.

10. SERVICES MANAGEMENT

We reserve the right to monitor the Services, take legal action against violators, restrict access, remove excessive content, and otherwise manage the Services to protect our rights.

11. PRIVACY POLICY

Please review our Privacy Policy at novathink.net/legal/privacy. The Services are hosted in Germany. By using the Services, you consent to data transfer to Germany. We do not knowingly collect information from children under 13.

12. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. Access may be denied, your account terminated, or your content deleted at any time without notice.

13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change or remove Services content at any time without notice. We are not liable for modifications, suspension, or discontinuance. We cannot guarantee the Services will always be available.

14. GOVERNING LAW

These Legal Terms are governed by the laws of Georgia. Tengiz Kiknadze and yourself irrevocably consent that disputes shall be resolved exclusively by the courts of Georgia.

15. DISPUTE RESOLUTION

Informal Negotiations: Parties agree to negotiate disputes informally before initiating arbitration.

Binding Arbitration: Disputes shall be resolved by the International Commercial Arbitration Court under the European Arbitration Chamber. No class-action arbitration is permitted.

Exceptions: Disputes involving intellectual property rights, theft, piracy, privacy, or injunctive relief are not subject to arbitration.

16. CORRECTIONS

We reserve the right to correct errors, inaccuracies, or omissions on the Services at any time without notice.

17. DISCLAIMER

THE SERVICES ARE PROVIDED AS-IS. ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED. WE ARE NOT RESPONSIBLE FOR ERRORS, PERSONAL INJURY, UNAUTHORIZED ACCESS, TRANSMISSION INTERRUPTIONS, VIRUSES, OR DAMAGES FROM USE OF THE SERVICES.

18. LIMITATIONS OF LIABILITY

TENGIZ KIKNADZE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES.

19. INDEMNIFICATION

You agree to defend and hold Tengiz Kiknadze harmless from any claims arising from your use of the Services, breach of Legal Terms, violation of third-party rights, or harmful acts toward other users.

20. USER DATA

Data you transmit is maintained for performance management purposes. You are solely responsible for your data. There is no liability for loss or corruption of your data.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Services, you consent to electronic communications and agree they satisfy legal written communication requirements. You waive any requirements for original signatures or non-electronic records.

22. CALIFORNIA USERS AND RESIDENTS

Unresolved complaints may be directed to: Complaint Assistance Unit, Division of Consumer Services, California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834.

23. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and Tengiz Kiknadze. Rights may be assigned at any time. If any provision is unenforceable, the remaining provisions remain valid.
